Terms of Service

1. Acceptance of Terms

These Terms of Service govern access to and use of the Gorus Platform. By accessing or using the Platform, the customer agrees to be bound by these Terms.

If you are entering into these Terms on behalf of an organisation, you warrant that you have authority to bind that organisation.

2. Services

Gorus provides a cloud-based logistics and transport management platform, including:

  • Web and mobile applications
  • API, webhook and EDI integrations
  • Document processing and OCR capabilities
  • Reporting and analytics integrations
  • Audit logging and operational tools

Services are provided on a subscription basis under a separate commercial agreement or order form.

3. Customer Responsibilities

The customer must:

  • Ensure all users comply with these Terms
  • Maintain the confidentiality of login credentials
  • Ensure uploaded data is lawful and does not infringe third-party rights
  • Obtain all required consents for GPS tracking and personal data collection
  • Configure integrations securely

The customer is responsible for the accuracy and legality of all data entered into the Platform.

4. Acceptable Use

Customers and users must not:

  • Attempt to gain unauthorised access to the Platform
  • Interfere with system security or availability
  • Upload malicious code or harmful files
  • Use the Platform for unlawful purposes

Gorus may suspend access where misuse is detected.

5. Data Ownership

All operational data entered into the Platform by the customer remains the property of the customer.

Gorus retains ownership of:

  • The Platform
  • Software, source code and architecture
  • Documentation
  • System logs and aggregated, de-identified analytics

Gorus may use aggregated and de-identified data for performance analysis and service improvement.

6. Security and Availability

Gorus implements commercially reasonable technical and organisational measures to protect the Platform.

The Platform is designed for high availability using cloud infrastructure and redundancy mechanisms. However, uninterrupted access is not guaranteed.

Scheduled maintenance will, where practicable, be conducted outside normal business hours.

7. Integrations

Where customers use APIs, FTP/FTPS, EDI or webhook integrations:

  • Customers are responsible for securing their own endpoints
  • Data transmission occurs at the customer’s direction
  • Gorus is not responsible for third-party system failures

Retry mechanisms may apply to webhook delivery, but delivery is not guaranteed where endpoints are unavailable or misconfigured.

8. Fees and Payment

Fees are payable in accordance with the relevant order form or agreement. Failure to pay may result in suspension of services.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Gorus excludes all implied warranties except those that cannot lawfully be excluded
  • Liability is limited to the re-supply of services or payment of the cost of re-supply
  • Gorus is not liable for indirect, consequential or loss of profits

Nothing in these Terms excludes liability that cannot be excluded under Australian law.

10. Termination

Either party may terminate in accordance with the applicable commercial agreement.

Upon termination:

  • Access to the Platform will cease
  • Customer data may be made available for export for a limited period
  • Gorus may archive data in accordance with its retention policies

11. Confidentiality

Each party must keep confidential any non-public information disclosed in connection with the Platform.

12. Governing Law

These Terms are governed by the laws of Western Australia. The parties submit to the exclusive jurisdiction of the courts of Western Australia.
